Freakshow Conditions Freakshow CD Rom — Conditions of Use

1. The first 40 theme parks or family entertainment centers ("Respondents") that contact The Sudden Impact! Entertainment Company ("SIEC") in New York via e-mail to Anne McGrath at annemcgrath@msn.com, will be mailed a CD Rom of the short Halloween film Freakshow (the "Film"), (approximate running time 9 minutes), for their review, subject to the Conditions of Use.
2. Respondents will have the opportunity to utilize the Film at one location from October 1^st to November 8th, 2001 at no charge, subject to SIEC’s approval of the location. Location may be withheld by SIEC, in its sole discretion, for any reason. SIEC will waive its standard $25,000 Halloween season license fee for such use at approved locations.
3. Use of the film by Respondents shall be subject to the terms and conditions of a License Agreement, which will be executed between the parties.
4. Respondents shall be responsible for any and all costs in connection with the production of a screening print or DVD of the Film, which may be required for exhibition, as well as any costs for the shipping and handling of same.
5. Marketing materials in connection with the Film will be made available to Respondents by SIEC at an additional cost.
6. Requests for the Freakshow CD Rom must be made by the Respondent’s CEO or equivalent corporate position.
7. All CD-Rom requests must be received via e-mail by 5:00 PM EST on July 13, 2001. A limit of 40 valid CD-Rom requests will be honored by SIEC.
